  IT IS ON THIS DATE MUTUALLY AGREED BETWEEN THE UNDERSIGNED PARTIES AS THE FOLLOWING TERMS AND CONDITIONS:

  双方就“MV VICTORIA OR SUB”轮租船事宜达成符合如下条件和条款和协议:

  CARGO GEARS: 4 X 30MT CRANES (LV ZHOU - KGW) WITH 4 X 6-12CBM GRABS FOR HEAVY CARGOES,

  MASTER SHALL HAVE THE RIGHT TO REMOVE SPILL PLATE OF GRAB TO REDUCE VOLUME.

  DISPORT TO BE DECLARED LATEST BY SAILING FM LOADPORT

  CHRTS GUARANTEE NO DRAFT LIMITATION AT DISCHG PORT.

  DISCHARGING PORT TO BE DECLATED BEFORE COMPLETION OF LOADING.

  租家在装港完货前宣卸港。

  7. FREIGHT:

  USD 10.25 PMT FIOST BSS 1/1 FOR MID CHINA.

  + USD 0.6 PMT FOR N.CHINA DISCHARGE

  - USD 0.8 PMT FOR S.CHINA DISCHARGE

  7.1 FULL FRT 100 PCT WILL BE PAID OWNERS NOMINATED BANCK ACCOUNT WITHIN THREE DAYS AFTER COMPLETION OF LOADING ,. FREIGHT PAYABLE AS PER CHARTER PARTY, BUT ALWAYS BEFORE BREAK BULK IF NOT, THE OWNERS SHALL HAVE A LIEN ON THE ENTIRE OR PART OF CARGO FOR THE OCEAN FREIGHT, DEADFREIGHT, DEMURRAGE AND GENERAL AVERAGE CONTRIBUTION DUE UNDER THE CONTRACT, ANY TIME LOSS, EXPENSES OCCURRED THEREBY TO BE FOR THE CHARTERERS ACCOUNT. AND CARGO CLEARENCE AND DELIVERY NEVER AVAILABLE BEFORE SAFE RECEIPT OF FULL FREIGHT.

  在装货完毕的3个银行工作日以内支付100%运费到船东指定账户,.运费支付按照合同规定, 但无论如何必须在船舶卸货之前。如果在合同规定时间内运费仍未到达船东指定银行账户,船东有权留置货物,由此产生的一切费用、时间延误和损失由租船人按照船舶实际租家损失和由此产生的其他损失支付给船东。全额运费未收到之前,租家无权报关和提货。

  7.2 FREIGHT DEEMED EARNED ONCE CARGO ON BOARD, NON-RETURNABLE, NON- DEDUCTABLE, WHETHER CARGO/VESSEL LOSS OR NOT.

  一旦货物装船并签发提单之后,无论货物灭失与否,运费认可不能返回,不能折扣。

  8.-LOADING RATE:6,000 MT PWWD SHINC

  装率6,000吨每晴天工作日,星期日,节假日包括在内。

  -DISCHARGING RATE: 12,000 MT PWWD SHINC

  卸率: 12,000吨每晴天工作日,星期日,节假日包括在内。

  9.-DEMURRAGE / DESPATCH:USD12,500 /DAY DESPATCH HALF DEMURRAGE OR PRO-RATA

  滞期和速谴:滞期费率为每天12,500美元,速遣费率为滞期费率的一半,不足一天按比例计算。 ONCE ON DEMURRAGE, ALWAYS ON DEMURRAGE.一旦滞期永远滞期。

  10.-N.O.R. TO BE TENDERED UPON VSLS ARRIVAL AT BENDS, WHETHER IN BERTH OR NOT, WHETHER IN PORT OR NOT, WHETHER FREE PRATIQUE OR NOT, WHETHER CUSTOM CLEARANCE OR NOT. LAYTIME NON REVERSIBLE. LAYTIME SHALL COMMENCE TO COUNT 12 HRS AFTER NOR TENDERED, UNLESS LOADING/DISCHAGING SOONER COMMENCED. IN WHICH CASE THE ACTUAL TIME USED TO COUNT.

  船舶抵达装卸港,无论是否靠泊, 无论是否进入港口,无论是否有入港许可证,无论清关与否,都可以递交船舶准备就绪通知书。装卸港的装卸时间不可转换。装卸港起算时间:在准备通知

  书递交后12个小时开始起算。如果装卸货提前开始,按照实际开始装卸货的时间计算。

  10.1 CHARTERER GUARANTEE THAT CARGO AND THE DOCUMENTS MUST BE READAY FOR LOADING BEFORE VESSEL’S ARRIVAL AND COMMENCE LOADING 72 HOURS WITHIN VESSEL ARRIVAL LOADING PORT, IF NOT COMMENCE LOADING WITHIN 72 HOURS OF VESSEL ARRIVAL DUE TO CARGO/DOC NOT READY, CHARTERER SHOULD PAY DETENTION USD12,500 /DAY EVERY 3 DAYS IN ADVANCE, OTHERWISE OWNER HAS RIGHT TO WITHDRAW THE VESSEL WITH AN NOTICE BY TELEX OF FAX . OWNERS HEREBY RESERVE ALL THE RIGHTS FOR CLAIMING FURTHER LOSSES AND LIABILITIES, IF ANY, ARISING FROM SUCH WITHDRAW ACTION.

  在船舶到港前,租家应保证货物和单据已经备妥,并在船舶抵达后的72小时以内装货,如果在船舶抵达的72小时以内没有装货是由于货物/单证没有备妥,租家应每3天预付12,500美元/天的延滞费,否则船东有权以电传或传真形式撤销船舶,船东有权保留对不得不撤销船舶而产生的损失和责任进一步索赔的权利。

  10.2 DEMMURAGE/DESPATCH AT LOADING PORT AND DISCHARGING PORT TO BE SETTLED W/I 15 WORKING DAYS AFTER COMPLETION OF DISCHARGING AND AGAINST OWNER’S SUPPORTING DOCUMENTS SUCH AS NOTICE OF READINESS /TIME SHEET/STATEMENT OF FACT SIGNED AND CONFIRMED BY THE SHIPPING AGENCY AT LOADING/ DISCHARGING PORT. OTHERWISE OWNER IS ENTITLED TO DETAIN CGO AT DISCHG PORT, CGO QUANTITY/VALUE SHOULD BE EQUIVALENT WITH DEMURRANGE . 在装港和卸港的速遣和滞期费在卸货完毕之后的15个工作日以内结算,根据船东提供的有船代签字盖章确认的装卸准备就绪通知书/申明/时间记录。否则船东有权利在卸港扣留与滞期费等值货物.

  11.-OWNRS AGENT AT BENDS. CHTRS COULD PROPOSE THE AGENT BUT SUBJECT REASONABLE AND COMPETITIVE AGENCY FEE.

  装卸港船东代理,基于合理的代理费可以由租家推荐。

  12.-CARGO TO BE RELEASED AGAINST ORIGINAL BS/L,IN THE EVENT OF NON-PRESENTATION OF ORIGINAL BILL OF LADING AT DISCHARGE PORT OWING TO THE DELAY OF BILL(S) SENDING ,OWNERS WILL DISCHARGE THE ENTIRE CARGO AGAINST CHARTERS SINGLE LETTER OF INDEMNITY SINGED BY CHATTERERS AND CONSIGEE ALTOGETHER IN ACCORDANCE WITH OWNER’S P&I CLUB WORDING WITH NEGOTIATION,THE BILL OF LOADING WILL BE SENT TO OWNER OR OWNER’S AGENT WITHIN 12 DAYS AFTER COMPLETINO OF DISCHARGING。

  放货需根据正本提单,如果在卸港正本提单延迟到达,船东应容许根据租家和收货人提供并签章保函的卸下全部货物,保函格式以船东提供的符合P&I的格式为准,正本提单在卸货完毕的'12天内提供给船东或其代理人。

  13.-THE OWNER GUARANTEE VESSEL IS EQUIPPED WITH GOOD-CONDITION AND SUFFICIENT FACILITIES FULLY SUITABLE FOR LOADING BULK CARGO IN HOLDS AND TO PROVIDE SUFFICIENT LIGHTS AS ON BOARD FOR NIGHT WORKS AND FREE USE OF WHICH IN GOOD WORKING CONDITIONS.

  船东保证船舶装备处于良好状态并且足够的设备完全符合在舱内装载散货,并且在甲板上提供充足的照明以便晚上作业,而且处于良好工作状态。

  14.-FOR OCCASIONAL STEVEDORE DAMAGE ,NO MATTER OCCURRED AT LOADING PORT OR DISCHG PORT, CHTR/STEVEDORE HAS THE OBLIGATION TO COMPLETE REPAIR TO THE SATISFACTION OF MASTER IF REQUESTED BY OWNER BEFORE VSL LEAVES. ANY TIME LOSSES CAUSED BY CHTR’S DELAY REPAIR SHOULD BE DEEMED AS DETENTION FOR CHTR’S ACCOUNT; FOR PERMANENT STEVEDORE DAMAGE, CHTR TO PAY OWNER AS PER ACTUAL REPAIR VOUCHER WHEN VSL ENTERING DD NEXT TIME.OWNER SHOULD SEND THE DAMAGE REPORT TO CHTR WHICH SIGN BY MASTER TO CHTR WITHIN 48HRS AFTER DAMAGE OCCURRED.

  装卸公司对于船舶造成的损坏,无论发生在装港还是卸港, 对于需要临时性修理的损坏, 如果船东有要求,租家/装卸公司有义务在开航前完全修复损坏直至船长满意, 由于迟延修复所造成的任何时间损失应被视为延滞损失并由租家来承担; 对于需要永久性修理的损坏, 租家在船下次进坞修理时按照实际修理发票支付给船东.在损坏发生48小时之内船东应该把有船长签字的损坏报告给租家。

  15.-CONGEN BS/L TO BE USED,CARGO QTY ON BS/L TO BE DETERMINED BY SHIPPER,DRAFT SURVEY JOINTLY WITH MASTER AT LOADING PORT .TAXES DUES CHARGES ON CARGO TO BE CHARTERERS ACCOUNTS,SAME ON VESSEL/FREIGHT OWNER’S ACCOUNT.OAP IF ANY TO BE FOR CHTR’S ACCT。

  使用金康提单,提单上的货物数量按照发货人以及船长的联合水尺检验确定。和货物有关的税费由租家承担,同样,和船舶有关的税费有船东承担。老龄保险由租家承担。

  16.-OWNER MUST PROVIDE THE CRANE WITH GRABER FOR LOADING.AND GTEECRN/GRAB IN GOOD ORDER,IF CRN/GRAB BREAK DOWN AND INFACT DELAY THE LOADING SHOULD DEDUCT PRO RATA.

  船方在装货港需备吊杆抓斗.船东保证船吊/抓斗处于良好状态,若船吊坏掉并实际耽误装货则装卸时间按比例扣除。

  17.-ARBITRATION IN HONGKONG AND ENGLISH LAW TO APPLY.

  在香港仲裁并适用英国法律.

  18.-OTHERS AS PER GENCON CP94其它条款根据GENCON94的合约.

  19.-CHARTERERS G’TEE THAT NICKEL ORE IS HARMLESS NON DANGEROUS AND LOADED/CARRIED/STOWED/DISCHARGED IN ACCORDANCE WITH IMO REGULATIONS AND IMSBC CODE.AND CHARTERERS/SHIPPER PROVIDE LEGALLY MOISTURE CERTIFICATE AND ANY OTHER PROPER CERTIFICATE/DOCUMENT TO OWNR/MASTER BEFORE VESSEL ARRIVAL OF L/PORT. OTHERWISE, THE MASTER MAY REJECT A CARGO. DURING THE VOYAGE,OWNERS HAVE OPTION TO ARRANGE OWNERS SURVEYOR ON BOARD TO ENSURE SAFE LOADING OF THE CARGO.ALL THE TIME AND SURVEYOR COST TO BE FOR OWNER’S ACCOUNT IF SURVEY REPORT SHOWED CARGO IS SUITABLE FOR SAFE CARRIAGE.OTHER WISE,ALL THE TIME AND SURVEYOR COST

  AND OWNERS LOSSES TO BE FOR CHARTERS ACCOUNT . IF A SUBSTITUTE CARGO IS TO BE ARRANGED, ALL COSTS AND LOSSES SHALL BE AT CHARTERERS’ ACCOUNT. TIME USED FOR CAN-TEST IF PASSED NOT TO COUNT AS LAYTIME.

  租家保证镍矿是无害的,没有危险的,装货,运输, 积载,卸货根据IMO规则和IMSBC 规则。船舶抵达装港前,租家/托运人须向船东及船长提供合法含水份证书以及其他适当证书/文件。否则,船长有权拒装货物。船东可以安排检验人上船以确保安全装货,若检验结果表明货物适合装运,检验时间和相关费用由船东自行承担; 若检验结果表明货物不适合装运,检验时间和船东损失由租家承担。如果租家需要安排其他替代

  货,由此而引起的费用和损失由租家承担。CANTEST 通过,所用时间船东承担。

  20.-THE ABOVE CONTRACT WILL BE SIGNED IN ENGLISH AND/OR CHINESE WRITTING AND ITS FAX HAS THE SAME FORCE AND EFFECT AS ORIGINAL CONTRACT.

  以上合同以中文和/或英文书面形式签订,其传真件同原件具有同等法律效益

  21.-ALL NEGOTIATIONS AND EVENTUAL FIXTURE TO BE KEEP PRIVATE AND CONFIDENTIAL. 所有谈判和最终订立的合同(双方)均须保密。
